1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Alantra, Inc. (in formation) ("Alantra," "we," "us," or "our"), concerning your access to and use of our website and any related media form, media channel, mobile website, or mobile application (collectively, the "Site").

Company status. Alantra is a Delaware corporation in the formation process. During this period, certain services, content, and technology available via the Site may be provided for or on behalf of Alantra by its affiliate and owner of the underlying intellectual property, Virtus Ventures B.V., a private limited company (besloten vennootschap) organized under the laws of the Netherlands ("Virtus Ventures").

By accessing the Site, you agree that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, DO NOT USE THE SITE.

Supplemental terms and policies posted on the Site from time to time are incorporated by reference. We may update these Terms at any time. We will indicate updates by changing the "Last updated" date above. Your continued use of the Site after any update constitutes your acceptance of the revised Terms.

The Site is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would contravene law or regulation or subject us to registration in that jurisdiction. If you access the Site from other locations, you do so on your own initiative and are responsible for compliance with local laws.

The Site is not designed to comply with industry-specific regulations (e.g., HIPAA, FISMA, GLBA). If your use would be subject to such laws, you may not use the Site.

The Site is intended for users 18 years and older.

2. Intellectual Property Rights

Ownership. Unless otherwise indicated, the Site is our proprietary property. All product and intellectual property rights in and to the Site, the underlying models, software, content, designs, trademarks, service marks, logos, and other materials (collectively, the "Content" and "Marks") are owned by Virtus Ventures B.V. and are licensed to Alantra for operation of the Site and provision of services. The Content and Marks are protected by U.S. and international copyright, trademark, and other intellectual property laws.

License to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted.

Restrictions. Except as expressly permitted in these Terms, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Site, Content, or Marks for any commercial purpose without our prior written permission (which may need to be obtained from Virtus Ventures B.V. as the IP owner).

3. User Representations

By using the Site, you represent and warrant that: (1) you have legal capacity and agree to these Terms; (2) you are not a minor in your jurisdiction; (3) you will not access the Site through automated or non-human means (bots, scripts, etc.) except as expressly permitted by us; (4) you will not use the Site for any unlawful purpose; and (5) your use will comply with all applicable laws and regulations. If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Site.

4. Fees and Payment

We accept credit/debit cards via Stripe and ACH for eligible customers; enterprise plans may be invoiced. You may need to purchase or pay a fee to access some services. You agree to provide current, complete, and accurate purchase and account information and to promptly update such information. We bill through an online billing account. Prices may change at any time. All payments are in U.S. dollars and may include applicable taxes.

You authorize us to charge your payment method for purchases, including recurring charges for subscription plans until you cancel. We may correct pricing errors even if payment has been requested or received and may refuse any order. Plans bill in advance, renew automatically monthly, and you authorize recurring charges until cancellation.

5. Cancellation

You can cancel your subscription at any time by logging into your account or contacting us using the information below. Your cancellation takes effect at the end of the current paid term. If you are unsatisfied with our services, please contact us so we can help.

6. Prohibited Activities

You may not access or use the Site for any purpose other than as made available by us. The Site may not be used in connection with any commercial endeavors except those endorsed or approved by us. Without limitation, you agree not to do any of the following:

• Systematically retrieve data or other content to create a collection, compilation, database, or directory without our written permission.
• Trick, defraud, or mislead us or users (e.g., phishing for passwords).
• Circumvent, disable, or interfere with security features or usage limitations.
• Disparage or harm us or the Site.
• Use information from the Site to harass, abuse, or harm another person.
• Misuse support channels or submit false reports.
• Use the Site contrary to laws or regulations.
• Unauthorized framing/linking.
• Upload/transmit viruses, malware, or spam.
• Engage in automated use (scrapers, robots, data mining) except as expressly permitted.
• Remove copyright or proprietary notices.
• Impersonate others or use another user's username.
• Deploy passive/active information collection mechanisms (web bugs, spyware, etc.) beyond our published Cookie Policy.
• Interfere with or burden the Site or connected networks.
• Harass or threaten our personnel.
• Bypass access controls.
• Copy or adapt Site software or reverse engineer where not permitted by law.
• Launch or distribute unauthorized automated systems or scripts.
• Use buying agents or purchasing agents to make purchases on the Site.
• Collect user emails or create accounts by automated means or under false pretenses.
• Use the Site to compete with us or for other revenue-generating endeavors without permission.

7. User Generated Contributions

The Site does not presently offer user posting. If we enable such features, you may be able to submit content ("Contributions"). Contributions may be visible to others and handled per our Privacy Policy. You represent and warrant that you own or have necessary rights to your Contributions; they do not infringe third-party rights; and they are lawful, accurate, and free of prohibited content. Any misuse may result in suspension or termination.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Venue and jurisdiction for any permitted court proceedings shall be in the state or federal courts located in Delaware, unless otherwise required by law.

16. Corrections

Information on the Site may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time without prior notice.

20. User Data

We will maintain certain data that you transmit to the Site for the purpose of managing Site performance, as well as data relating to your use of the Site. You are responsible for all data you transmit or that relates to any activity you have undertaken using the Site. Our processing of personal data is described in our Privacy Policy and Data Processing Addendum.

21. Electronic Communications, Transactions, and Signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You consent to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices and policies.

22. Miscellaneous

These Terms and any policies or operating rules posted by us on the Site constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. If any provision is unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of remaining provisions. You may not assign these Terms without our prior written consent; we may assign these Terms. There are no third-party beneficiaries. Headings are for convenience only.
